This issue is resolved in ESX 4.0 Update 2. For ESX/ESXi 3.5, this issue is resolved with the following patches depending on the product you are using:
- ESX 3.5
VMware ESX 3.5, Patch ESX350-201006401-SG: Updates VMkernel, VMware Tools, hostd, VMX, VMnix (1022899)

If you do not wish to update or patch ESX/ESXi in order to resolve this issue, as a workaround you can modify the CPU mask using the following mask information.
|PDPE1GB||1||ecx||---- ---- ---- --0- ---- ---- ---- ----|
|80000001||edx||---- -0-- ---- ---- ---- ---- ---- ----|
For more information on modifying CPU masks, see section Modifying Default Mask for Intel CPUs in VMotion CPU Compatibility - Migrations Prevented Due to CPU Mismatch - How to Override Masks (1993)
